    Description

    - Handle secretarial matters for listed entities and private companies in the portfolio- Ensure compliance with Companies Act, company's constitution, Listing Rules of Singapore Exchange Securities Trading Limited ("SGX-ST") or relevant stock exchange, Code of Corporate Governance, and other related regulations- Prepare notices, agendas, material for Board and Board committee meetings - Assist in overseeing Board and Board committee meetings on-site and off-site arrangements - Assist with travel arrangements for overseas directors- Assist in administration of director and executive compensation, e.g. share plans- Manage the operational aspects of shareholders' and directors' meetings- Assist with administrative duties relating to meetings- Prepare meeting agenda and papers- Record and prepare minutes of meetings and resolutions- Update and maintain statutory and corporate records- Execute filings with ACRA and relevant authorities- For offshore companies, manage, supervise and coordinate with external service providers on the provision of corporate secretarial services rendered by them- Prepare summary and annual report and the related documentation- Ensure that statutory deadlines are met and that the statutory and regulatory disclosures are validated- Monitor compliance with internal share trading window requirements- Draft announcements and release these announcements via SGXNET to SGX-ST or relevant stock exchange portal and public- Liaise with secretariat departments of business units and major shareholders(s) in ensuring compliance with related regulations- Prepare relevant secretarial documentation for director and executive compensation, e.g. share plans
