    Description

    Job Summary

    The Company Secretary is responsible to take ownership and support end-to-end company secretarial duties which includes advisory to the board of directors in relation to corporate governance matter.

    Responsibilities

    1. Handles the appointment, reappointment, and cessation processes for both the Board and facilitating internal approvals and ensuring compliance with statutory and regulatory requirements.
    2. Manages the submission of necessary documentation to regulatory bodies and maintains updated registers.
    3. To provide guidance to both the Board regarding governance issues.
    4. Coordinates the Annual Assessment exercise for the Board, overseeing the entire process and aiding in the implementation of improvement plans as needed.
    5. Keeps abreast of corporate governance developments and assists the board in applying effective governance practices to meet stakeholders' expectations. Keep the Directors and Executives timely informed of any changes in regulations related to them.
    6. Organise and manage meetings for the Board, Management, and other Committees, including agenda preparation, review and distribution of meeting materials, drafting minutes, follow-up on action items, and storage of finalised minutes.
    7. Ensure that all resolutions passed by BOD and at AGM have been implemented and complied with the Company's Constitution.
    8. Reviews proposals and drafts circular resolutions for circulation to the appropriate Board or Committee, communicates resolutions to the Originator, and ensures relevant documents are securely stored.
    9. Ensure compliance of the Company and the Board with the relevant laws, rules & regulations, and including corporate governance practices.

    Requirements

    1. An associate member of MAICSA/ ICSA
    2. Possess Companies Commission of Malaysia (SSM) Practicing Certificate/License to act as Secretary.
    3. At least 10 years' of experience in corporate secretarial practice and legal background in listing companies is required.
    4. Well verse in secretarial practice and procedures.
    5. Conversant with Companies Act 2016, corporate governance practice, Bursa Malaysia and other relevant regulatory laws, regulations and guidelines.
    6. Keep abreast/aware of the developments/changes of new and existing reporting and other requirements imposed by the statute under which the companies are incorporated.
    7. Excellent communication skills, both written and spoken in English and Bahasa Melayu
    8. Good interpersonal skills with the ability to engage with stakeholders at all levels.
