- Drive M&A assessments, fundamental analyses and coordinate due diligence activities together with internal and external experts.
- To actively participate in the negotiation as well as preparation, review, and execution of transaction documents.
- Participate in deal construction and negotiations.
- Lead preparation and review transaction documents with the legal advisors.
- Identify and assess transaction risks to ensure CelcomDigi's interests are duly protected while achieving CelcomDigi's objectives.
- Support in the preparation of investment proposals for M&A opportunities.
- Work in a complex organisation, navigating and influencing multiple stakeholders to achieve results.
- Liaise with external solicitors and legal advisors as and when required.
- Stakeholder management including Board, senior management, cross-functional advisers and teams.
- Lead and guide teams in managing investment portfolios governance and initiatives.
- Actively engage with key stakeholders across investee companies, partners, and management teams, in delivering value creation plans and addressing business challenges.
- Support legal advisory matters for Group when handling various investment portfolios, support Director Nominees and Board Observers role in investee companies.
- Main liaison for internal and external legal counsels in the handling of legal matters and ensure compliance with relevant laws and regulations specific to the investment portfolios.
- Provide research on laws and policies related to the Group's businesses and related industries.
- Bachelor's degree in law/LLB or relevant disciplines.
- Minimum 8-10 years of experience in M&A, investment banking, capital markets or transaction services or in-house corporate development functions with multinational companies.
- Experienced in corporate matters, including (i) advising in mergers and acquisitions transactions (from conducting due diligence to drafting, negotiation and finalizing transaction documents); (ii) corporate financing advisory work; and (iii) well-versed with Companies Act, Listing Requirements and other relevant equity regulations.
- Well-versed on Corporate Governance matters including Anti-Bribery and Anti-Corruption ('ABAC') matters.
- Strong problem-solving skills, critical thinking, sound business judgment, and result oriented.
- Possess exceptional personal integrity.
- Experienced in managing project related exercise, including strategizing and collaborating with relevant stakeholders.
- Able to drive the completion of the project and able to be a key player in the project.
- Ability to take initiatives and be self-directed towards completing team assignments and handle investment processes effectively and efficiently.
- Possess a positive and engaging personality and willingness to communicate and collaborate.
- Excellent written and verbal communication skills with the ability to engage both internal and external stakeholders.
