- Advise and provide legal insights to management and the company on all legal matters including mergers and acquisitions, finance, corporate governance, corporate secretarial practice, change in law, regulatory and compliance while appreciating business considerations.
- Review and negotiate a range of legal documents for the company which may involve financing, commercial arrangements, corporate transactions, and day-to-day operations which includes but not limited to non-disclosure agreements, letters, service agreements, license agreements, construction contracts, financing and security documents and other agreements.
- Sound analysis of company's rights and obligations, identify and conduct business risk assessment and provide proactive strategies and business-friendly alternatives to mitigate and protect the company's interest.
- Actively support the closing and negotiations of contracts including engagement with internal and external stakeholders.
- Monitor and ensure the company's compliance with its obligations whether under contract, or relating to compliance, regulatory and applicable law.
- Update and maintain templates and policies for the company in line the company's goals and objectives, industry standards and legal requirements. Ability to craft new contract templates will be considered favorably.
- To manage and coordinate actual, pending or threatened dispute, claims, and legal proceedings and to strategize and identify ways to resolve the matter, keep legal cost minimal and obtain the most favorable outcome for the company.
- Manage and maintain good relationship with internal and external stakeholders including collaborating with and supporting internal stakeholders and monitoring and controlling the quality and cost of legal services provided by external counsels as well as acting as liaison between company and external counsel.
- Any other task assigned from time to time.
- Bachelor's degree from an accredited university.
- Qualified lawyer will be considered favorably.
- Minimum 4 years PQE
- Experienced in general corporate and commercial transactions, compliance and regulatory gained from a fast-paced environment
- Able to apply legal knowledge and expertise into business and commercial environment.
- Exposure to dispute resolution, litigation or arbitration will be considered favorably.
- Demonstrated ability to create legal defensive or proactive strategies.
- Excellent written and spoken English and Bahasa Malaysia. Mandarin will be an advantage but not essential.
- Proactive, adaptable and agile attitude towards learning, sound commercial judgment, able to work under pressure and cope with varied demands.
- Possess good interpersonal skills, meticulous, highly self-motivated and team player.
- Familiarity with the subsea cable and telecommunications industry will be considered favorably.
